Accordingly, the parties agree as follows:

AGREEMENT

1. Dr. Kate Programs and Kate Siner Francis LLC

If the program includes appointments, Client is responsible for scheduling all appointments and attending the calls on time. No credit shall be given by Kate Siner Francis LLC to Client for unscheduled or missed appointments. If Client circumstances require rescheduling of appointment, it may be rescheduled any time prior to 24 hours in advance of a call. Kate Siner Francis does not anticipate needing to reschedule, but, if needed, Kate Siner Francis would provide 48 hours notice and offer additional availability.

If the program includes Web calls, Client will be sent an automated reminder of upcoming Web calls no less than twenty-four (24) hours prior to the call. Please make sure to add the address of the confirmation email you get from the program so as not to miss any of the calls.

If program advertises that Client has access between the calls to Kate Siner Francis via email as needed, Client agrees to allow Kate Siner Francis up to twenty-four (24) hours to respond to emails received during business hours on Monday through Friday 9:00am to 5:00pm Eastern Standard Time unless otherwise advertised by program. Emails received outside that time period would be answered within 24 hours of the next business day.

2. COMPENSATION

Client shall make payment as advertised on Web page regardless of whether Client attends all of the calls or completes the program.

If this Agreement is entered into prior to the 15th of the current month, the second payment of the multi-pay arrangement will be processed on the first day of the following month. If Agreement is entered into on or after the 15th, the payment will be processed on the first of the month after the following one. Processing of following payments will occur on the first of the month.

3. TERMINATION OF AGREEMENT

Kate Siner Francis is committed to providing Clients with a positive program experience. Client agrees that Kate Siner Francis may, at her sole discretion, terminate this agreement and limit, suspend or terminate Client's participation in the program without refund or forgiveness of monthly payments if Client becomes disruptive or difficult to work with or if Client fails to follow program guidelines.

4. LIMITATION OF LIABILITY

Kate Siner Francis LLC has made every effort to accurately represent the program and its potential. The testimonials and examples used are not intended to represent or guarantee that anyone will achieve the same or similar results. Each Client's success depends on many factors, including Client's dedication, motivation, desire, background, and work ethic.

Client enters into each Dr. Kate program with the understanding that he or she is responsible for creating her or his own results and hereby releases Kate Siner Francis LLC from any liability for adverse actions or results experienced by the Client as a result of the Dr. Kate programs.

Client acknowledges that payment of program fees will not place a significant financial burden on the Client or Client's family.

Kate Siner Francis LLC respects Clients' privacy and will respect confidential and proprietary information, ideas, plans, and trade secrets. Client agrees not to infringe on any of Kate Siner Francis LLC's copyrights, trademarks, service marks or other intellectual property rights. Also, Client agrees not to disclose such information to any other person; that all materials and information provided by Kate Siner Francis LLC are its confidential and proprietary intellectual property, belong solely and exclusively to Kate Siner Francis LLC, and may only be used by Client as authorized by Kate Siner Francis LLC; and the reproduction, distribution, and sale of these materials by anyone other than Kate Siner Francis LLC is strictly prohibited.

Kate Siner Francis LLC is not qualified to provide legal, tax, accounting, or financial advice, and the information provided to Client is not intended as such. Client should refer all legal, tax, accounting, and financially related inquiries to appropriately qualified professionals.

While Kate Siner Francis is a licensed mental health provider in the state of Rhode Island, Dr. Kate programs are not intended to substitute for proper regular mental health care as might be needed, and contents of the Dr. Kate programs do not claim to diagnose mental health disorders.

5. MISCELLANEOUS

This Agreement constitutes the entire agreement of the parties with regard to the subject matter hereof, and replaces and supersedes all other agreements or understandings, whether written or oral. No amendment or extension of this Agreement shall be binding unless in writing and signed by both parties. This Agreement shall be governed by the laws of the State of Rhode Island. Any disagreement in connection herewith shall be finally settled by arbitration. The invalidity or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provision.

Client authorizes Kate Siner Francis LLC to charge Client's credit card or debit card, or cash Client's check, as payment for participation in Kate Siner Francis's program.

6. When you complete any form on the Dr. Kate or associated Web site, you can rest assured that your information will not be shared with or sold to anyone outside of the Kate Siner Francis LLC organization. You will, however, be put on our mailing list. If you do not wish to be on this list, press the unsubscribe button at the bottom of the newsletter.

7. All payments taken from the site are processed in the Infusionsoft platform. The credit card information we take through an Infusionsoft order form, through the shopping cart, or enter as part of recording an order payment manually is automatically encrypted. This protects you from credit card fraud.

Infusionsoft is a Level 1 e-commerce application Service Provider. They provide their customers with a method of collecting credit card data through a shopping cart, order form, or manual order, which they then pass to a payment processor. As a Level 1 Service Provider, Infusionsoft must comply with a rigorous set of standards set forth by the Payment Card Industry Data Security Standard (PCI DSS).

In summary, these standards require:

  • data encryption
  • network firewalls
  • secure transmission, storage, and disposal of payment card data

Infusionsoft specifically does the following:

  • Provides secure hosting for Kate Siner Francis LLC's Infusionsoft application, the shopping cart, and order forms.
  • Encrypts the credit card data received through orders and stored with the order data.
  • Encrypts the purchase data passed to payment processor(s).
  • Requires user logon and periodic password changes.
  • Seeks out and encrypts credit card data manually added by a user.
  • Limits user access to credit card data stored in Infusionsoft.
  • Submits to periodic third-party audits and tests.
